TERMS OF USE

These terms and conditions (“Agreement”) govern the provision of interior design services by Combine Design Pvt Ltd(“Company”) to the Client. By accepting the services of Combine Design Pvt Ltd, the Client agrees to be bound by the terms and conditions of this Agreement.

Scope of Services:

We offer end-to-end home interior design services to meet your specific needs and preferences.

Combine Design Pvt Ltd shall provide the following interior design services to the Client: (a) Conceptual design,
(b) Space planning,
(c) Selection of finishes, materials, furniture, and accessories,
(d) Preparation of detailed drawings and specifications,
(e) Project management, and
(f) Any other services as mutually agreed upon by the parties.

Payment Terms:

We understand that your home design project is a significant investment, and we make payments simple and straightforward. You can choose to pay for our services by credit card, debit card, or bank transfer, and rest assured that all transactions are secure.

The Client shall pay Combine Design Pvt Ltd for the services rendered in accordance with the payment schedule agreed upon by the parties. Any additional services beyond the scope of work outlined in this Agreement shall be subject to additional fees to be agreed upon by the parties.

No refund is provided once the design phase is initiated or once the measurement is taken.

Intellectual Property:

The Client acknowledges that all intellectual property rights in the design concept, drawings, and other materials produced by Combine Design Pvt Ltd shall be the sole property of the Company. The Client shall not use or reproduce any such intellectual property without the prior written consent of Combine Design Pvt Ltd.

Your Safety is Our Priority:

We are committed to ensuring your safety while using our services. Our team of designers follows strict safety protocols, and we only use high-quality materials and products that meet industry standards.

Confidentiality:

The parties shall maintain confidentiality with respect to all confidential information (“Confidential Information”) disclosed by one party to the other party. The receiving party shall only use the Confidential Information for the purpose of fulfilling its obligations under this Agreement.

Termination:

Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, the Client shall pay Combine Design Pvt Ltd for all services rendered up to the date of termination.

Limitation of Liability:

Combine Design Pvt Ltd shall not be liable to the Client for any indirect, incidental, or consequential damages arising out of or in connection with this Agreement. The Company’s total liability to the Client shall not exceed the total amount paid by the Client under this Agreement.

Indemnification:

The Client shall indemnify and hold harmless Combine Design Pvt Ltd and its employees, agents, and contractors from and against any and all claims, damages, and expenses arising out of the Client’s use of the Company’s services.

Governing Law & Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

Dispute Resolution:

Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act.

Entire Agreement:

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements, whether written or oral, relating to the subject matter of this Agreement.

Amendment:

This Agreement may only be amended in writing and signed by both parties.

Waiver:

The failure of either party to enforce any provisions of this Agreement shall not be deemed a waiver of such provision.

Severability:

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Assignment:

The Client shall not assign its rights or delegate its obligations under this Agreement without the prior written consent of Combine Design Pvt Ltd.

Notices:

All notices required or permitted under this Agreement shall be in writing and shall be delivered by personal delivery, recognized national overnight courier, confirmed facsimile, or confirmed email.
